PrimeValerium provides professional commercial leasing services including but not limited to:

• Lease negotiation and structuring services
• Due diligence and property assessment
• Tenant representation and advocacy
• Market analysis and location assessment
• Ongoing lease management support

We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time without prior notice.

User Obligations

When using our Services, you agree to:

• Provide accurate, current, and complete information about yourself and your business
• Maintain the security and confidentiality of your account credentials
• Use the Services only for lawful purposes and in accordance with these Terms
• Respect the intellectual property rights of PrimeValerium and third parties
• Not interfere with or disrupt the Services or servers connected to the Services

Service Fees and Payment

Our commercial leasing services are provided on a fee basis as agreed upon in separate service agreements. All fees are quoted in Euros (EUR) and are subject to applicable taxes including Dutch VAT where required.

Payment terms and conditions will be specified in individual service agreements. Late payment may result in suspension of services and additional charges as permitted by law.

We reserve the right to modify our fee structure with reasonable notice to existing clients.

Limitation of Liability

To the fullest extent permitted by applicable law, PrimeValerium B.V. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your use of the Services.

Our total liability to you for all claims arising from or relating to the Services shall not exceed the amount paid by you to us for the Services during the twelve (12) months preceding the claim.

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud, or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable law.

The Services are provided on an "as is" and "as available" basis. We make no representations or warranties of any kind, express or implied, as to the operation of the Services or the information, content, materials, or products included therein.

While we strive to provide accurate and up-to-date information about commercial properties and market conditions, we make no warranty that such information is accurate, complete, or current. Property information may change without notice, and we recommend independent verification of all material facts.

We disclaim all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Indemnification

You agree to defend, indemnify, and hold harmless PrimeValerium B.V., its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms
• Your use of the Services
• Your violation of any rights of another party
• Your violation of any applicable laws or regulations

Termination

We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

You may terminate your use of the Services at any time by discontinuing your use of the website and notifying us in writing. Upon termination, your right to use the Services will cease immediately.

All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Governing Law

These Terms shall be governed and construed in accordance with the laws of the Netherlands, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the courts of the Netherlands.

You and PrimeValerium B.V. agree to submit to the personal jurisdiction of the Dutch courts for the purpose of litigating all such claims or disputes.

Dispute Resolution

We encourage you to contact us first if you have any concerns or disputes. Most concerns can be resolved quickly and to your satisfaction by contacting our support team.

If we cannot resolve a dispute through direct communication, any disputes arising from or relating to these Terms or the Services shall be resolved through binding arbitration in accordance with the rules of the Netherlands Arbitration Institute (NAI), unless otherwise required by applicable law.

Severability

If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. The invalid or unenforceable provision will be deemed modified to the extent necessary to make it valid and enforceable.

Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published by us on the Services, shall constitute the entire agreement between you and PrimeValerium B.V. concerning the Services.
